In this position, you will be responsible for handling a variety of securities and governance legal matters, with a particular focus on compliance with SEC filing requirements and leading AbbVie’s network of +150 global subsidiaries. In addition, you will work closely with the Division Counsels for Securities and Governance.
Key Responsibilities Include:
Provide legal advice and guidance for securities matters and global subsidiary compliance.
Support the preparation and review of current and periodic SEC filings, including registration statements, Forms 10-K, 10-Q and 8-K and proxy statements, and prepare Section 16 filings, Rule 10b5-1 Plans and related documentation.
Provide legal support to Division Counsel for capital markets and bank financing transactions and related diligence.
Prepare and review governance documentation for AbbVie’s subsidiaries, including organizational materials, board minutes, shareholder resolutions, and other key documentation.
Coordinate cross-functionally with Tax, Treasury, and other teams on subsidiary projects, including subsidiary creation, ownership changes, capital changes, and other matters.
Assist with or conduct training regarding subsidiary governance and securities compliance.
Provide strategic legal advice regarding new legal trends and other issues meaningful to AbbVie’s subsidiaries.
Identify and implement solutions and process changes to improve efficiency in securities and governance functions.
Work with subsidiary governance paralegal to ensure corporate records.
JD degree and appropriate licensure to practice law in Illinois.
Minimum 5+ years of relevant experience gained in a large firm or in-house.
Strong understanding of federal securities laws and prior exposure to board and governance matters.
Strong understanding of legal considerations applicable to a multi-national network of subsidiaries.
Demonstrated track record of cross-functional work and critical thinking skills.
Experience working with publicly traded companies.
Experience with employee benefits would be helpful.
